Terms of Use / Terms of Service - Quick Response Connect, LLC (Michigan)

These Terms and Conditions (“Terms,” “Agreement”) govern your use of the website, digital forms, scheduling systems, applications, communications, and services offered by Quick Response Connect, LLC, a Michigan limited liability company (“QRC,” “we,” “us,” or “our”). By accessing or using this website (“Site”) or submitting any form or communication through the Site, you agree to be bound by these Terms. If you do not agree, do not use the Site.

Your use of the Site is also governed by our separate Privacy Policy.

1. DEFINITIONS

“Site” means all QRC websites, forms, funnels, scheduling tools, pages, and digital platforms.
“User,” “you,” or “your” means any visitor, consumer, homeowner, or contractor accessing or using the Site.
“Direct Services” means limited handyman and smart-home tasks performed directly by QRC that do not require a Michigan license and are generally under $600.
“Referred Services” means work requiring a Michigan residential builder or trade license that QRC refers to licensed independent contractors.
“Contractor,” “Provider,” or “Service Provider” means any independent business, individual, or entity that uses QRC’s systems to receive referrals.
“User Content” means any content submitted by a User, including descriptions, photos, and form responses.
“Platform” means QRC’s intake, routing, scheduling, and communication systems.

2. ELIGIBILITY

You must be at least 18 years old to use the Site or request services.
By using the Site, you represent and warrant that:

1. You are legally capable of entering into binding contracts.

2. All information you provide is accurate and truthful.

3. You will comply with Michigan law and these Terms.

3. ACCOUNT CREATION (IF APPLICABLE)

If QRC later offers or requires accounts:

1. You must provide accurate information.

2. You are responsible for maintaining confidentiality of login credentials.

3. You must notify QRC immediately of any unauthorized access.

4. QRC may suspend or terminate accounts for violations of these Terms.

4. NATURE OF QRC’S SERVICES

4.1 QRC Direct Services (Under-$600 / Non-Licensed Work)

QRC performs limited handyman and smart-home services that:

• Do not require a Michigan residential builder or specialty license; and

• Are generally under $600 per job.

Your contract for Direct Services is with QRC.

QRC may decline or discontinue work if:

• The project requires a Michigan license;

• The project exceeds allowable unlicensed scope; or

• Safety issues or inaccuracies exist.

4.2 Referred Services (Licensed / Over-$600 Work)

For work requiring licensure, QRC acts only as a referral platform.

For Referred Services:

• QRC is not a party to your contract with the contractor.

• QRC does not warrant contractor performance, licensing, insurance, or pricing.

• All rights, obligations, warranties, and remedies are between you and the contractor.

• You must independently verify licensure and insurance.

4.3 QRC Is Not a Law Firm

Although QRC is owned by an attorney, QRC does not provide legal services or legal advice.
Use of the Site does not create an attorney–client relationship.

5. MICHIGAN LEGAL COMPLIANCE

5.1 Michigan Residential Builder Act (MCL 339.2401 et seq.)

Licensed work shall only be performed by licensed contractors. QRC does not perform residential building or alteration work requiring licensure.

5.2 Michigan Consumer Protection Act

Nothing in these Terms waives any non-waivable consumer rights under Michigan law.

6. COOKIES & TRACKING

The Site uses:

• Required cookies for security, fraud prevention, and functionality

• Optional analytics or marketing cookies (only with consent)

Disabling cookies may affect functionality. Third-party integrations may use their own cookies.

7. ELECTRONIC COMMUNICATIONS & SMS CONSENT

By using the Site, you consent to receive:

• SMS text messages (including automated and AI-generated)

• Phone calls and call-routing

• Emails

• Automated notifications

Message and data rates may apply.
You may opt out of SMS by replying STOP.

Electronic communications satisfy “written” requirements under ESIGN and UETA.

8. USER RESPONSIBILITIES

You agree to:

1. Provide truthful, accurate information.

2. Describe work conditions accurately.

3. Provide safe access to the property.

4. Control pets and hazards.

5. Avoid illegal or hazardous requests.

6. Comply with all applicable laws.

9. PAYMENT TERMS

1. Prices for Direct Services will be provided before work begins.

2. Payment is due upon completion unless otherwise stated.

3. QRC may require deposits or prepayment for certain tasks.

4. Service call fees, cancellation fees, or diagnostic fees may apply.

5. Chargebacks are prohibited unless legally justified.

6. Disputed charges must be reported within 5 business days.

7. Third-party payment processors govern their own terms.

10. SCHEDULING TERMS

1. Arrival windows are estimates.

2. Delays may occur due to weather, emergencies, or operational issues.

3. QRC is not responsible for contractor cancellations or delays in Referred Services.

4. Missed appointments may incur fees.

11. USER CONTENT LICENSE

By submitting content, you grant QRC a non-exclusive, irrevocable, worldwide, royalty-free license to use, reproduce, modify, and distribute the content for operational and business purposes.

12. PROHIBITED USES

You may not, under any circumstances:

• Violate Michigan or federal law

• Request unlicensed work exceeding legal limits

• Attempt to bypass QRC processes to avoid fees

• Misrepresent your identity or purpose

• Engage in harassment, threats, or abusive conduct

• Scrape, harvest, or extract data

• Use automated tools, bots, or crawlers

• Upload harmful code, malware, or exploits

• Reverse-engineer or copy the Platform

• Interfere with or disrupt the Site

• Infringe on intellectual property rights

• Use the Site for commercial purposes without consent

13. CONTRACTOR TERMS OF SERVICE (PROVIDERS)

All Contractors using QRC’s systems agree:

1. They are independent businesses, not employees of QRC.

2. They will maintain all required Michigan licenses and insurance.

3. They will truthfully represent qualifications.

4. They will comply with all safety laws and building codes.

5. QRC may suspend or remove contractors at its discretion.

6. Contractors indemnify QRC from any claims arising from their work.

14. THIRD-PARTY SERVICES & INTEGRATIONS

The Site may integrate with third-party:

• Payment processors

• Scheduling systems

• Mapping tools

• Messaging platforms

• Video and communication systems

QRC is not responsible for the actions, security, or performance of third-party providers.

15. SERVICE MODIFICATION & SUSPENSION

QRC may modify, suspend, or discontinue any part of the Site or services at any time, with or without notice.

16. INTELLECTUAL PROPERTY

All content on the Site is owned by QRC or its licensors. Unauthorized use is prohibited.

17. DMCA COPYRIGHT POLICY

QRC may remove repeat infringers.

18. DISCLAIMER OF WARRANTIES

The Site and services are provided “as-is” and “as-available.”
QRC disclaims all warranties, express or implied, including:

• Merchantability

• Fitness for a particular purpose

• Accuracy

• Reliability

• Non-infringement

QRC does not warrant contractor performance, availability, or scheduling.

19. LIMITATION OF LIABILITY

To the fullest extent permitted by law, QRC is not liable for:

• Indirect, incidental, consequential, or punitive damages

• Loss of revenue, data, or business

• Property damage caused by contractors

• Service delays or cancellations

• Errors, interruptions, or security incidents

Nothing limits liability where prohibited by law.

20. INDEMNIFICATION

You agree to indemnify and hold harmless QRC, its owners, employees, and affiliates from any claims arising out of:

• Your use of the Site

• Your violation of these Terms

• Your interactions with Contractors

• Your submission of User Content

21. ARBITRATION & DISPUTE RESOLUTION

21.1 Mandatory Arbitration

Any dispute arising from these Terms shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules.

21.2 Waiver of Jury Trial

You waive the right to a jury trial.

21.3 Waiver of Class Actions

You waive any right to participate in a class, collective, or representative action.

21.4 Small Claims Court Exception

Either party may bring an action in small claims court in Oakland County, Michigan.

22. FORCE MAJEURE

QRC is not liable for delays or failures caused by events beyond its control, including:

• Natural disasters

• Weather

• Power outages

• Network failures

• Supply shortages

• Government restrictions

• Labor disputes

23. INTERNATIONAL USE & EXPORT RESTRICTIONS

The Site is intended for use within the United States. Users accessing from outside the U.S. do so at their own risk and responsibility.

24. NO WAIVER

Failure to enforce any provision of these Terms does not constitute a waiver of that or any other provision.

25. SEVERABILITY

If any part of these Terms is held invalid, the remainder remains enforceable.

26. ASSIGNMENT

You may not assign your rights under these Terms. QRC may assign or transfer its rights at its discretion.

27. ENTIRE AGREEMENT

These Terms constitute the entire agreement between you and QRC regarding Site use and supersede all prior agreements.

28. GOVERNING LAW & VENUE

These Terms are governed exclusively by Michigan law.
Venue for any permitted court action shall lie in Oakland County, Michigan.
